Comprehensive Corporate Counseling
Ms. Mulvihill represents numerous corporations, joint ventures, partnerships and limited liability companies from entity formation, financing, operations, and exit strategies through liquidation; she also counsels and transacts in international joint ventures and strategic alliances.
International Projects
Ms. Mulvihill has consummated transactions in Canada, United Kingdom, Italy, France, Spain, Poland, Czech Republic, Luxembourg and the Netherlands.
Taxation
Ms. Mulvihill advises on a wide spectrum of tax issues regarding mergers and acquisitions, dispositions, joint ventures and strategic alliances; private offerings of debt and equity securities and financial products; and leases of equipment and facilities; counsel partnerships and other non-corporate entities encompassing a broad range of business transactions, including roll-ups and restructurings; income and loss allocations and withholding tax issues; built-in gains issues; and tax basis issues.
Securities Expertise
Ms. Mulvihill assisted in the formation and establishment of a broker-dealer engaged in national real estate investment opportunities, including the application and registration process and interviews with NASD (FINRA). She is currently the president and general counsel of the broker-dealer, which has been registered since 2005.
Employment Transactions
Ms. Mulvihill prepares and negotiates executive employment agreements, profit sharing arrangements and internal financing arrangements relating to real property development and ownership, and severance/separation agreements.
